<p>What&#8217;s in a name? Not long ago, choosing a law firm name was easy. Take your name, stick &#8220;Law Offices of&#8221; at the beginning, and voila &#8211; you&#8217;re in business. But nowadays, with the legal market saturated as it is, you might want to think twice before going with the old standby. Your name says a lot about your firm. It is the first thing that people see when they find you, whether it&#8217;s on the internet, in the phone book or walking by your door. So why not take the time to make a good first impression?</p>
<p>Location, location, location. Where you open up shop is just as important as what you call your firm. If you are a litigator, open up next to the courthouse. If you are a real estate lawyer, rent space in a building where there is a large broker. You want to open your law firm in a location that gives you the most opportunity to create business and get clients.</p>
<p>Entity or bust. Choose the correct business entity for your firm. Do you want the freedom of a sole proprietor? Or do you need the liability protection allowed by a corporation? What if you want the tax benefits of a partnership? These are only a few of the many questions that you need to answer, which brings me to the next consideration.</p>
<p>Taking care of business law. Consult with an attorney. A business lawyer knows more than you do. Even if you are a business attorney, an outsider provides unbiased perspective. In any event, it is always a good idea to have your questions answered and to talk out your business plan with someone else.</p>
<p>Go for it. There is a tendency to try and learn everything about something before trying it. But it&#8217;s impossible to know everything about starting a law firm, and running a business. So do your planning, trust your instinct and make the leap of faith. If you don&#8217;t, then you will always regret it.</p>

Finding solicitors to do your conveyancing can be a difficult business. With so much choice from varying types of firms and services, how do you choose the right one?</p>
<p>The following is some advice on how to go about the search for a good conveyancing solicitors.</p>
<p>What types of solicitors are out there?</p>
<p>- The small firm; these often have only one or two partners<span id="more-61"></span> in charge which can cause problems. If you take up work with such a firm the chances that the progress of your case will be disrupted is high. You may encounter problems such as; you cannot get through to your solicitor on the phone, they may not have a DX system in place and annual leave or sickness can often interfere with the services they offer. The firm could also lack a comprehensive complaints handling procedure.</p>
<p>- The big firm; although they may have a large competent team of conveyancers, may not be local to your area and therefore may be lacking some of the basic knowledge that can often aid a property transaction. These firms should be approached in the case of a large commercial property transaction or a particularly complex conveyance.</p>
<p>- The local firm; depending on the size and complexity of the transaction, this type of firm would normally be your first point of call. You should try to aim for a medium sized firm with an established team of conveyancing solicitors; the firm needs to be local to the area that the property is in.</p>
<p>- The &#8216;no-completion no-fee&#8217; firm; this type of deal can normally be found on-line. The service works on the basis that if the transaction does not proceed past exchange of contracts (through no fault of the buyer) then you do not owe any legal fees. Note; this does not include any disbursements incurred. This may sound like a good deal especially in a tentative sale, however, be aware that firms such as this may be tempted to rush the conveyancing process in order to start accruing fees. If you are interested in a firm that offers this service then be sure to obtain a full quote for your transaction and where possible read a review on their conveyancing department.</p>
<p>So how do I choose between the firms local to me?</p>
<p>A good place to start is with your estate agent. The estate agents will have built up relationships with their local solicitors, and should know which firms do a good job for their clients. Make a list of any recommendations that they make. Do not be afraid to ask your estate agent whether or not they hold a referral contract with their recommended firms.</p>
<p>This list of recommendations can be used to form a shortlist for you to base your own investigations on. At this point check with your lender to ensure that they have no restrictions on what solicitors you use.</p>
<p>Start by looking up the solicitors on-line by visiting their websites and identify the appropriate people to contact for conveyancing. Email these people directly with a summary of the transaction and ask for a quote for the work.</p>
<p>The way conveyancing solicitors charges may vary. Some firms will ask you to pay a fixed fee, but others will charge a percentage of the property&#8217;s purchase price. Most commonly are those whom charge a fixed fee subject to the payment of any disbursements (such as VAT, land registry fees) and any additional unforeseen costs. You should compare all quotes received, do not however be tempted to simply go for the cheapest one. Compare your quotes with the order in which your agent recommended the firm. Correlate the firm that is going to offer a good service at a reasonable price.</p>
<p>Once again, your decision may be affected if you are purchasing commercial property or are entering into a complex arrangement.

<p>I recently came across a TV program about disco which brought up a memory of 8-track tapes. When it was the rage among my friends, I had to have them, but soon enough, I realized that they did not work for me (I could not replay my favorite sound tracks). I went for the &#8220;next new thing&#8221; (stereo audio cassettes, at the time).</p>
<p>Fads can be fun when there&#8217;s not a lot at<span id="more-60"></span> stake. But when it&#8217;s your business, it helps to look before you leap. And little by little, I&#8217;m now hearing about the fallout from &#8220;strategic alliances&#8221;&#8230; largely because people rushed into them as the &#8220;next new thing&#8221; without thinking it through. How can you make sure yours succeed?</p>
<p>View your alternatives from the point of view of the end result. Do you really need to strike up an alliance? Many entrepreneurs enter into strategic alliances because everyone else is doing it, rather than critically evaluating whether they will serve their business needs. Therefore, ask instead if an alliance will get you to where your business needs to be.</p>
<p>What are your immediate business goals? Maybe the goal is to increase your visibility in a certain market so that you can attract more clients. If so, what kind of clients? More of what you already have? Larger clients? Clients in a different industry? Will these be clients for your current product or service offerings, or do you want to branch out into new areas? The answers to these questions are vital, because they help you hone in on (1) whether you will truly benefit from an alliance at this point, (2) if so, who will be the most appropriate allies for your company, and (3) what will be the best approach in working with them.</p>
<p>After you have decided that an ally is the right way to go, you next have to find appropriate &#8220;power partners&#8221;. &#8220;Power partners&#8221; are either companies or people that can move your business in a way that you have not managed. As you are making your choices, think through the business goals you want to achieve and ask the following of yourself:</p>
<p>- Does this person/company offer products or services that complement mine (direct competitors are often not a good power partner choice)?</p>
<p>- Is this person/company well regarded in the marketplace? (check this out before hand as you do not want a bum as an ally)</p>
<p>- Is the person/company in an industry that I want to move into?</p>
<p>- Is the person/company a bigger or smaller business than mine, and will it matter who runs the alliance?</p>
<p>- Do I enjoy working with this person/company? What is their &#8220;corporate culture&#8221; like?</p>
<p>- What is this person/company planning to get out of this collaboration with me/my company? Are our goals compatible?</p>
<p>With a new alliance, it is okay to start out slow. It is better to let the strategic alliance develop naturally on their own rhythm, rather than forcing it to grow. A modest start is fine.</p>
<p>Finally, because the law doesn&#8217;t clearly define &#8220;strategic alliances,&#8221; it&#8217;s crucial that the parties to the alliance do. Whatever you call your relationship with your &#8220;power partner,&#8221; be sure to put your expectations in writing &#8211; particularly in situations where money changes hands, intellectual property is created, and you serve clients jointly. When you have a clear understanding in writing, you can forge a powerful alliance with your power partners!</p>

You can improve your chances of success by making a commitment to do things the right way. Here are some tips on how to get there.</p>
<p>Start with your business plan. Take some time and develop a thorough, yet concise, business plan. This will be the starting point for your business. While developing a business plan has been the topic for entire books and college courses, just make sure that all of the essential elements are included. Take the time to research your profession, the market, and financial projections. You will want to refer to this plan often, and revise it as necessary, to evolve with your business.</p>
<p>Consult a business attorney. A knowledgeable business attorney will be able to answer your questions about business formation, taxation, operation, ethics, etc. Ask your business lawyer any questions you can think of, and use the answers in your daily operation.</p>
<p>Create an office manual. Some experts will advise you to create the office manual during the time period shortly after opening your doors. However it is crucial that your office manual, which will outline all the essential and regular procedures for your business, is at least drafted prior to opening. If you want to operate properly from day one, you need to know how you plan on doing things. You can always revise your manual as you implement policies, and find that things are working or not working. But without a policy at all, you are bound to be inconsistent.</p>
<p>Have a strategy and stick with it. Once you have created your office manual, and found that something works, stick with it. The important thing here is to consistently operate. For example, if your policy is to send out monthly invoices and you have found that this is working, continue to send out monthly statements.</p>
<p>But don&#8217;t be afraid to re-evaluate. Some of your policies won&#8217;t work. As a business owner, you have to continuously look at what you&#8217;re doing and figure out what can be done better. For example, say you decided to give every potential client a brochure outlining your services. If the brochure is not helping, you may want to look at whether this is a good policy.</p>
<p>Trust your instinct. In the end, you started a business because you have faith in your ability to operate successfully. You have done the planning and worked hard to get where you are. Now let your personality and vision show.</p>

<p>What Do To When Your Insurance Company Denies Your Claim</p>
<p>A determination by your insurance company that you are not covered is not the final word, but only the beginning of a process for you to obtain the insurance coverage which you purchased. Upon further investigation, facts may come to light which may cause the insurance company to re-evaluate its position<span id="more-56"></span> and provide coverage. </p>
<p>Also, if suit is necessary, the courts may find that you are covered by your insurance policy when your insurance company says you are not covered. </p>
<p>The realities of insurance </p>
<p>Whether you are a business that purchased a commercial general liability insurance policy or an individual who purchases a homeowner&#8217;s policy or a life insurance policy, &#8220;peace of mind&#8221; was probably a big selling point made by the selling insurance agent. In return for payment of money to the insurance company today, the insurance company promises that it will be there for you in the future should you suffer a loss. </p>
<p>Unfortunately, many find that after having consistently paid their premiums, an insurance company denies their claim when they call upon their insurance company for the coverage promised in the insurance policy. In many cases, the one who determines and advises you that your insurance policy does not provide coverage is not an attorney, but a claims adjuster without knowledge of Louisiana insurance law. </p>
<p>Should your insurance company deny you coverage, you should seek the advice of an attorney familiar with the interpretation of insurance policy language. </p>
<p>When doing so, you are obtaining the opinion of a person trained in insurance law and not employed by the insurance company. If your attorney&#8217;s opinion is that you are entitled to coverage, the denial of your claim is the beginning of your claim&#8217;s process, not the end. </p>
<p>Why insurers and the insured always seem to be at odds </p>
<p>As an insurance company is a business, and a goal of a business is to make a profit, it is understandable that an insurance company has a bias towards denying insurance coverage. However, this bias may not be the only reason for an insurance company denying coverage to its insured. </p>
<p>At the time that you prepare and submit your claim to your insurance company,<br />

you may not know all of the facts and the insurance adjuster may not know all of the facts particular to your situation. In this situation, an attorney can review the insurance provisions, discover the relevant facts that trigger coverage and transmit these facts to the insurance adjuster for a re-determination of coverage. </p>
<p>When problems with claims persist </p>
<p>If the adjuster continues to deny coverage in the face of the newly presented facts, your attorney will be able to further pursue and protect your interests by filing suit against the insurance company. In this suit, your attorney will ask the court to declare that you have coverage under your policy. </p>
<p>In some situations it is not the lack of knowledge of certain facts which cause the insurance adjuster to deny coverage, but the policy language as the policy language relevant to your claim may have acquired a legal meaning which is not apparent to the layman or the insurance adjuster upon reading of the policy. Again, your attorney will be able to explain to the insurance adjuster the legal meaning and ramifications of the policy language and how that meaning entitles you to coverage. </p>
<p>Should the adjuster continue to deny coverage in the face of such law, your attorney will be able to further pursue your interest by filing suit against the insurance company asking the court to determine that you are covered by your policy. </p>
<p>The above situations may be best explained by real life examples: </p>
<p>Family #1 &#8211; Accidental Death Claim </p>
<p>In a claim for accidental life insurance policy proceeds, an insurance company denied the claims of a parent for the death of their child, when that child died after losing control of a car he was driving. Scientific examination of blood samples showed trace amounts of a prescriptive medicine, a medicine which was not prescribed to the child. </p>
<p>The insurance company denied the claim upon the basis that the child was under the influence of a controlled substance, and coverage for such was excluded by the policy. The parents hired an attorney who reviewed the policy, reviewed the chemical analysis and obtained information from a forensic pathologist about the chemical analysis. The attorney&#8217;s efforts proved that the amount of the controlled substance that appeared in the chemical analysis was the minimum amount which could be registered by the test, and that a test reading of this amount could mean that there was none of the controlled substance in the child&#8217;s bloodstream. </p>
<p>End result &#8211;</p>
<p>Upon being presented with this information, the insurance company reversed its position, provided coverage, and paid the full amount of the accidental life insurance proceeds to the parents. This is an example where facts relevant to coverage where not apparent to the policy holder and the adjuster. An experienced attorney was required to discover the relevant facts and present them to the insurance company. </p>
<p>Family #2 &#8211; Life Insurance Disputes </p>
<p>In another situation, an insured was delivered an insurance policy while in the hospital. The insured was diagnosed with a terminal illness during this hospital stay and died soon after. The insurance company denied coverage claiming that the insured knew of the presence of this disease prior to delivery of the life insurance policy. The insured&#8217;s surviving spouse obtained the services of an attorney and suit was filed. </p>
<p>End result-</p>
<p>This attorney conducted a thorough and exhaustive research of the deceased&#8217;s medical records. This attorney discovered that the only evidence of the deceased having knowledge of a terminal illness occurred within one day after the life insurance policy was delivered. The attorney presented this information to the insurance company and the insurance company settled the law suit by paying benefits to the surviving spouse. </p>
<p>Business Scenario &#8211; Lawsuit protection </p>
<p>In another situation, a commerci<br />

al business was sued for libel and slander. That commercial business had purchased a comprehensive general liability policy which provided coverage for attorney&#8217;s fees and court costs in defending this claim. The insurer refused to provide coverage. </p>
<p>The business hired an attorney to defend the business in the libel and slander suit. That same attorney then sued the insurance company for reimbursement of the insured&#8217;s attorney&#8217;s fees and court costs incurred in defense of the libel and slander suit. </p>
<p>End result-</p>
<p>The result of this suit was that the court found that the insurance policy sold to the business provided coverage for a cost of defense and that the insurance company owed reimbursement to the business for the attorney&#8217;s fees and costs it incurred in defending the suit. Interestingly, the insurance company owed this &#8220;cost of defense&#8221; whether the business won or lost the libel and slander suit filed against it. </p>
<p>There are many more examples in the law books where an insurance company denied insurance coverage to its insured, only to later be found by the courts to have provided coverage to its insured. Each case is different, and each case must be carefully examined.</p>

<p><b class="titler">What is Power of Attorney?</b><br />

<p>Power of Attorney is a legal document where one person authorizes another to act on his/her behalf.  It allows that authorized person to manage business and/or financial affairs when one person is no longer able to do so.  It may be required due to illness, overseas travel or mental incapacity.</p>
<p>Why is it important to organise a Power of Attorney?  Should you be considered incompetent to deal with your finances &#8211; you need somebody else to be authorised to deal with your affairs. A Power of Attorney document allows you to choose the person, with defined authority and limits if desired, the power to protect, or re-arrange, your assets.</p>
<p>The person named in a Power of Attorney to act on your behalf is referred to as your &#8220;agent&#8221; or &#8220;attorney-in-fact.&#8221; With a valid Power of Attorney, your agent can take any action permitted in the document. Often your agent must present the actual document to invoke the power.</p>
<p>If you do not have a Power of Attorney and become unable to manage your personal or business affairs, it may become necessary for a court to appoint one or more people to act on your behalf.  Usually referred to as guardians, conservators, or committees. If a court proceeding is required then you may not have the ability to choose the person who will act for you.</p>
<p>By executing a Power of Attorney for Finances (also referred to as a Durable Power of Attorney for Finances) you can decide who you want to make decisions about your legal and financial matters. You can be very specific about what actions you are authorizing your partner (or agent) to make, including which accounts he/she has access to and the types of decisions he/she can make.</p>
<p>A Power of Attorney for Health Care allows decisions to be made specifically on what kind of treatment the person wants, based on their medical condition.</p>
<p>A Living Will in some ways duplicates the information in the Power of Attorney for Health Care. It is a separate document that lets your family members know what type of care you do or do not want to receive should you become terminally ill or comatosed. It can also cover situations in which a person may survive but is not capable of making their own medical decisions. </p>
<p>It can be a directive stating that there is to be no heroic measures to keep the person alive when there is no realistic prospect of any meaningful recovery.</p>
<p>An Enduring Power of Attorney is a legal document authorizing a named person or people to act on your behalf.  Subject to certain conditions it continues in force until death.</p>
<p>Guardianship is a legal relationship whereby a probate court gives a person (the guardian) the power to make personal decisions for another (the ward). </p>
<p>A family member or a friend can initiate the proceedings by filing a petition in the probate court where the person lives.  A medical examination by a licensed doctor may be necessary to establish the person&#8217;s condition. A court of law will then determine whether that person is unable to meet the essential requirements for his/her health and safety. </p>
<p>As long as you are alive you have the power to revoke the Power of Attorney. To do this you must contact your attorney-in-fact to advise that the Power of Atorney has been revoked. </p>
<p>You can also specify a date that the Power of Attorney will expire.</p>
<p>A Power of Attorney is also important for unmarried couples, who live together, when a partner becomes incapacitated and unable to make decisions.  When this occurs the law usually assigns the incapacitated person&#8217;s next of kin as the decision maker. With a Power of Attorney, unmarried couples can give their partners the power to make decisions. </p>

<p>Details;</p>
<p>we are both 25, She is in her 3rd year of dental school and I work for my parent&#039;s real-estate/development company. We have been in a relationship for the past 4 years. I am an only child therefore down the line I would be among the owners (there are two other owners, outside of the family) of this partnership company. I asked this question a few days ago and apparently it does matter to talk about monetary details so here they are.</p>
<p>Dentist make about 145,000-165,000 a year before tax here in Miami, on the other hand, our current percentage of distribution to owners in the company amounts to about $789,000 a year (after tax) this however is a nonrecurring income pertaining the current economical dynamics, i.e is likely to increase by 25-35% in the next 4 years. </p>
<p>Also, we have several equity (shares) and debt (bonds) investments that make a significant percentage of our assets in the company.  </p>
<p>I never really though about getting the prenuptial agreement but my father and the company&#039;s lawyer are pressuring me to make one. Don&#039;t mistake this as a way to please my dad, is just a preventative solution to a unlikely divorce down the line </p>
<p>I am taking your opinions as a consideration, thanks</p>

<p>Have you ever wondered where all these somewhat confusing terms came from? Well the answer is they are all types of Lawyers originated from various legal systems. Some of the terms are from the English legal system, some are from Scotland and some<span id="more-53"></span> from the American legal system.
<p>An Attorney is somebody legally empowered to represent another person, or act on their behalf.</p>
<p>A Lawyer is somebody who can give legal advice and has been trained in the law.</p>
<p>Are Attorney and Lawyer are synonyms? Basically yes, but they are not necessarily Interchangeable terms, you cannot for instance say I give you the Power of a Lawyer, but you definitely might say I give you the power of Attorney&#8230;</p>
<p>Look again at the above definitions, does it now make any sense? Off course it does.</p>
<p>An attorney in fact is an agent who conducts business under authority that is controlled and limited by a written document called a letter, or power, of attorney granted by the principal. An attorney at law is an officer of a court of law authorized to represent the person employing him (the client) in legal proceedings.</p>
<p>A Solicitor- One that solicits, especially one that seeks trade or contributions. The chief law officer of a city, town, or government department but does not act as an advocate in court, as opposed to the Attorney who pleads in court. (English Law).</p>
<p>A Barrister(Called Advocate in Scotland) presents the case in court. Most senior and distinguished barristers are designated King&#8217;s (Queen&#8217;s) counsel.</p>
<p>A Counselor at law- In the past at least in some U.S states there was a distinction between the term A Counselor at Law who argued the case in court and an attorney who prepared the case but didn&#8217;t argue it.</p>
<p>Nowadays an attorney at law is authorized to exercise all the functions of a practicing lawyer. All of them must, however, like the ordinary attorney, be admitted to the bar. The term attorney is also used for county, state, and federal prosecuting officers, as county attorney, district attorney, and attorney general.</p>
<p>Lawyers, also called attorneys, act as both advocates and advisors in our society. As advocates, they represent one of the parties in criminal and civil trials by presenting evidence and arguing in court to support their client. As advisors, lawyers counsel their clients concerning their legal rights and obligations and suggest particular courses of action in business and personal matters. Although all lawyers are licensed to represent parties in court, some appear in court more frequently than others. Trial lawyers, who specialize in trial work, must be able to think quickly and speak with ease and authority. In addition, familiarity with courtroom rules and strategy is particularly important in trial work. Still, trial lawyers spend the majority of their time outside the courtroom, conducting research, interviewing clients and witnesses, and handling other details in preparation for trial.</p>
<p>Lawyers types:</p>
<p>The legal system affects nearly every aspect of our society, from buying a home to crossing the street. Lawyers hold positions of great responsibility and are obligated to adhere to a strict code of ethics.</p>
<p>The more detailed aspects of a lawyer&#8217;s job depend upon his or her field of specialization and position. Although all lawyers are licensed to represent parties in court, some appear in court more frequently than others.</p>
<p>Lawyers may specialize in a number of different areas, such as bankruptcy, probate, international, or elder law. Those specializing in environmental law, for example, may represent public-interest groups, waste disposal companies, or construction firms in their dealings with the U.S. Environmental Protection Agency (EPA) and other Federal and State agencies. These lawyers help clients prepare and file for licenses and applications for approval before certain activities may occur. In addition, they represent clients&#8217; interests in administrative adjudications.</p>
<p>Some lawyers concentrate in the growing field of intellectual property, helping to protect clients&#8217; claims to copyrights, artwork under contract, product designs, and computer programs. Still other lawyers advise insurance companies about the legality of insurance transactions, writing insurance policies to conform with the law and to protect companies from unwarranted claims.</p>
<p>Most lawyers are found in private practice, where they concentrate on criminal or civil law. In criminal law, lawyers represent individuals who have been charged with crimes and argue their cases in courts of law. Attorneys dealing with civil law assist clients with litigation, wills, trusts, contracts, mortgages, titles, and leases. Other lawyers handle only public-interest cases&#8212;civil or criminal&#8212;which may have an impact extending well beyond the individual client.</p>
<p>These issues might involve patents, government regulations, and contracts with other companies, property interests, or collective-bargaining agreements with unions.</p>
<p>Other lawyers work for legal-aid societies&#8212;private, nonprofit organizations established to serve disadvantaged people. These lawyers generally handle civil, rather than criminal, cases. A relatively small number of trained attorneys work in law schools.</p>
<p>The real life situations have created &#8220;specialties&#8221; according to business profitability. This is how terms like Vioxx Lawyer, DUI Lawyer, Lemon Law Lawyer , Structured Settlements Lawyer and others came about.</p>
